Who we are

Rely is a product operated by VALII LTD ("VALII", "Rely", "we", "us", or "our"). VALII LTD is registered in England and Wales under company number 13068797. Its registered office is 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX.

These Terms form an agreement between VALII LTD and the person or organisation purchasing or using Rely ("you" or "your").

Business use only

Rely is provided only for business use. You must be at least 18 and be acting for purposes relating to your trade, business, craft, or profession. If you act for an organisation, you confirm that you have authority to accept these Terms and manage its advertising assets.

The Rely service

Rely is advertising software designed to understand a product from a webpage you provide, prepare one Meta ad for your review, run an approved campaign for seven days, show the result, and use what it learned to improve the next ad.

At launch, Rely supports one product, one active ad at a time, and Meta advertising on Facebook and Instagram. Features described as planned or coming later are not part of the current subscription.

Starting a subscription

Submitting an enquiry through the current Launch Offer form does not create a subscription or require payment. Where direct checkout is available, your subscription begins when Stripe confirms your first successful payment and we confirm access to Rely. We will show the price, billing period, applicable taxes, and these Terms before you pay.

Launch Offer, payment, and renewal

The Rely subscription under the Launch Offer costs £50 per month and is charged monthly in advance. Any VAT or other tax legally due will be shown at checkout before you pay. Advertising spend charged by Meta is separate from the Rely subscription and remains under your control.

Payments are processed through Stripe. By subscribing, you authorise Stripe to charge your selected payment method when the subscription starts and on each monthly renewal until you cancel. Stripe may update stored payment details through card-network services where permitted.

We may review the Launch Offer price after one or two months. We will give you at least 30 days' notice before a price change applies to your subscription. You may cancel before the new price takes effect.

Cancellation and refunds

You may cancel at any time through the Stripe customer portal, when available, or by emailing [email protected]. Cancellation takes effect at the end of your current paid billing period. You can continue using Rely until then and will not be charged for a later renewal.

We do not normally provide a partial refund or credit when you cancel during a paid month. We will correct duplicate or incorrect charges and provide refunds where required by law or where VALII does not provide the paid service. This does not limit any rights that cannot legally be excluded.

Failed payments

Stripe may retry a failed payment and send billing notices. If an amount remains unpaid, we may restrict or suspend access after giving reasonable notice. You remain responsible for amounts properly due up to the effective cancellation or termination date.

Your responsibilities

You are responsible for:

• providing complete and accurate business and billing information;
• keeping your account secure and promptly reporting suspected misuse;
• having the rights and permissions needed for every webpage, image, trademark, product claim, Meta asset, and other material you provide;
• ensuring that your products, landing pages, tracking, advertising, and business practices comply with applicable law and platform rules;
• reviewing the ad, audience, placements, budget, dates, destination, and tracking before approval; and
• paying Meta advertising charges and other third-party charges you approve.

Approval and control

Rely is designed so that no ad launches until you approve it. Your approval authorises Rely to take the steps displayed in the approval screen, including creating the campaign in the connected Meta ad account using the approved budget and schedule.

You must check the approval information carefully. Contact us promptly if a campaign does not match what you approved.

Acceptable use

You must not use Rely to:

• advertise unlawful, fraudulent, deceptive, or prohibited products or services;
• infringe another person's intellectual property, privacy, or other rights;
• upload malware or attempt to bypass security or access controls;
• interfere with, overload, scrape, reverse engineer, or misuse the service; or
• use Rely or its outputs to violate advertising or anti-discrimination rules.

Meta and other third-party services

Your use of Meta, Stripe, and other third-party services remains subject to their own terms and policies. Rely is not endorsed by Meta. We do not control third-party reviews, account restrictions, outages, policy changes, payment decisions, or technical limits.

We are not responsible for a third-party decision or outage unless it was directly caused by our breach of these Terms or failure to use reasonable care and skill.

AI-generated outputs

Rely uses AI to prepare content, images, audiences, analyses, and recommendations. AI outputs may be incomplete, inaccurate, or similar to material produced for others. You must review outputs before approval and remain responsible for the claims and materials used in your advertising.

No guarantee of results

Advertising performance depends on your product, offer, website, tracking, budget, customer demand, platform decisions, and other factors outside our control. Rely does not guarantee campaign approval, purchases, revenue, profit, return on ad spend, or continuous availability of a third-party platform.

Content and intellectual property

You retain ownership of the materials and business information you provide. You give VALII a worldwide, non-exclusive licence to host, copy, analyse, adapt, and transmit those materials only as needed to provide, secure, support, and improve Rely and meet legal obligations.

As between you and VALII, you may use advertising outputs created by Rely for your business, subject to applicable law and third-party terms. Outputs may not be unique, and we do not guarantee that an output can be protected as intellectual property or that every use is free from third-party rights.

VALII retains ownership of Rely, its software, branding, documentation, design, and technology, excluding your materials and business information.

Privacy and confidential information

Our Privacy Policy explains how we handle personal information. Each party must use reasonable care to protect the other's non-public business information and may use it only to perform or receive the service, exercise legal rights, or comply with law.

Service availability and changes

We aim to keep Rely available and reliable, but the service may be interrupted for maintenance, security, provider failures, or events outside our reasonable control. We may change Rely as we learn, but we will not materially reduce the paid service during a current billing period without a valid operational, security, legal, or platform reason.

Suspension and termination

We may suspend or terminate access where reasonably necessary to address non-payment, misuse, security risk, legal requirements, third-party platform requirements, or a serious breach of these Terms. Where appropriate, we will explain the reason and provide a reasonable opportunity to resolve it.

When the subscription ends, your right to use Rely ends. Provisions concerning payment obligations, ownership, confidentiality, liability, disputes, and any other terms intended to survive will continue.

Our responsibility to you

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Subject to that paragraph, neither party will be liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, business opportunity, or data, arising from these Terms or Rely. VALII's total aggregate liability arising from Rely or these Terms will not exceed the subscription fees paid or payable to VALII during the 12 months immediately before the event giving rise to the claim.

Changes to these Terms

We may update these Terms to reflect changes to Rely, our providers, or legal requirements. We will give reasonable notice of a material change. Changes apply from their stated effective date and do not retrospectively alter rights or obligations that arose earlier.

General terms

You may not transfer your agreement without our written consent. We may transfer it as part of a genuine reorganisation, financing, merger, or sale, provided this does not reduce your rights. If any provision is unenforceable, the remaining provisions continue. A delay in enforcing a right does not waive it. These Terms, the Privacy Policy, and any checkout or order information form the agreement for your use of Rely.

Governing law and courts

These Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
